These Terms of Use (TOU) apply to this website, associated websites or subsites, software, services, mobile apps and any other content – digital or otherwise herein after called Merago Content and Services (MCS) - developed, created, distributed, or operated by Merago Inc. and its associates (hereinafter called “Merago”). Throughout this TOU, the terms “we”, “us” and “our” refer to Merago. Merago offers MCS to You, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

By accessing or using MCS, you agree to be bound by the following terms and conditions (“Terms of Use”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available as hyperlinks. These Terms of Use apply to all users of the MCS.

Please read these Terms of Use carefully before accessing or using MCS. If you do not agree to all the terms and conditions of this agreement, then you may not access MCS.

Any new features or services which are added to MCS shall also be subject to the Terms of Use. You can review the most current version of the Terms of Use at any time on this page. We reserve the right to update, change or replace any part of these Terms of Use by posting updates and/or changes to our software. It is your responsibility to check the software periodically for changes. Your continued use of or access to the software posting of any changes constitutes acceptance of those changes.
 

SECTION 1 – YOUR REPRESENTATION

By agreeing to these Terms of Use, you represent that

You are over the age of 18 AND legally an adult in your country, state and province of residence.
You will not use our services for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
You will not transmit any worms or viruses or any code of a destructive nature.
You are using MCS on your own free will and are completely, unconditionally responsible for the results, experiences and consequences.

A breach or violation of any of the TOU may result in an immediate termination of your privileges in the access of MCS.

SECTION 2 - GENERAL CONDITIONS

Merago reserves the right to refuse service to anyone for any reason at any time.

Merago takes data security and privacy very seriously. All data received and managed by Merago is controlled with the highest levels of security. However, you understand that any information you provide (not including credit card information), may be transferred unencrypted as access to MCS involves (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or user devices. Credit card information is always encrypted during transfer over networks.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the MCS, use of MCS, or access to MCS or any contact through which MCS is provided, without express written permission by us.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

SECTION 3 - ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION

MCS content  is provided for general information only and should not be relied upon or used as the sole basis for making health and wellness decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on MCS is at your own risk.
We make all efforts to ensure the accuracy of product information we publish online. However for a number of reasons including errors in spite of our best efforts, and external factors including but not limited to factors such as Your display screens, color and image representations on digital displays, lighting effects, Internet service issues, complexities of virtual image and content projections, real-time changes to pricing, and stock availability, there may be differences in the product you ordered, the order details itself, and the pricing. We shall make best efforts to address any and all issues in our control in a timely manner. However, we reserve the rights to make changes to products, pricing, special offers, discounts, delivery schedules,

SECTION 4 - ACCURACY OF BILLING AND ACCOUNT INFORMATION

You agree to provide current, complete and accurate account information for all transactions made using our software. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

SECTION 5 - USER COMMENTS, FEEDBACK AND OTHER SUBMISSIONS

We may provide you with the opportunity to post, publish, share, distribute your content, add links to other content sources in your content or edit existing content in any of our communication forums including but not limited to billboards, chat rooms, news groups, blog sites, reviews, feedback, complaints, forums (User Content). You shall also agree that all such forums, and communication channels provided by us where you may post such content are public and inherently insecure and thus all such posting is provided at your own risk. You shall grant Merago Inc. a royalty-free unlimited, non-exclusive, unrestricted, unconditional, perpetual right to use, edit, modify, republish, advertise, market, sell, sublicense, reverse engineer, develop derivative works of, publish, display, disclose, broadcast, record, make copies of, include in other works, share, transmit, translate all such User Content. It is your responsibility to ensure that such content is not: exploitative, abusive, intended to humiliate, defamatory, obscene, profane, indecent, slanderous, deemed harassment, infringing upon any copyright or intellectual property rights, privacy rights, or other rights of an individual, a group of individuals including but not limited to belonging to an ethnicity, religion, race, creed, color, age, gender or an entity. You shall also ensure that User Content shall not: be pornographic, be intended to incite unlawful or violent behavior, violate any regulatory or legal compliance requirements applicable in any applicable jurisdiction. By posting such User Content, you warrant that you are of legal age in all applicable jurisdictions where all such User Content will be accessible and have all necessary rights and permissions including that of legal guardians or parents where applicable to post such content. All such content shall be treated as non-proprietary or confidential irrespective of your labels, pronouncements, or notifications stating that it is so.

SECTION 6 - PERSONAL INFORMATION

Your submission of personal information and use of MCS is governed by our  Privacy Policy. By using MCS, you agree to and comply with our Privacy Policy.

SECTION 7 - ERRORS, INACCURACIES AND OMISSIONS

There may be occasional typographical errors, inaccuracies or omissions in MCS. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel at any time without prior notice (including after you have submitted your order). We make best effort at all times to ensure that pricing and product information provided by us shall be accurate. If errors are detected by us or anyone including You, we will make best efforts to notify You of such errors and any changes to Your order using the communication channels provided by You.

SECTION 8 - INDEMNIFICATION

 You agree to indemnify, defend and hold harmless Merago and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, from any claim or demand, including reasonable attorney fees, made by any third-party due to or arising out of your breach of these Terms of Use or the documents they incorporate by reference including the Privacy Policy, or your violation of any law or the rights of a third-party.

SECTION 9 - SEVERABILITY

In the event that any provision of these Terms of Use is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Use, such determination not affecting the validity and enforceability of any other remaining provisions.

SECTION 10 - TERMINATION

 Terms of Use are effective unless and until terminated by either you or us. You may terminate these Terms of Use at any time by notifying us that you no longer wish to use MCS, or when you cease using MCS.

SECTION 11 - ENTIRE AGREEMENT

Terms of Use and any policies or operating rules posted by us in respect to MCS constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Use). Any ambiguities in the interpretation of these Terms of Use shall be resolved in favor of Merago.

SECTION 12 - GOVERNING LAW

These Terms of Use and any separate agreements whereby we provide You Services shall be governed by and construed in accordance with applicable laws of the jurisdictions where MCS Services are explicitly offered by us.

SECTION 13 - CHANGES TO TERMS OF USE

This document is the latest, and current version of our Terms of Use at all times and overrides any other prior versions or variations you may have access to.
We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Use or the MCS by posting updates and changes to MCS. It is your responsibility to check MCS content and communication periodically for changes. Your continued use of or access to MCS following the posting of any changes to these Terms of Use constitutes acceptance of those changes.

SECTION 14 – ORDERS, CANCELLATIONS AND REFUNDS.

We may choose to make changes to these terms and conditions any time. Acceptance of these terms and conditions by You is implicit in the placing of any order for our products and services. In addition, all sales are conditioned on your acceptance of our policies on returns and exchanges as well as our Privacy Policy.

Ordering products and services.

It is not required to register with us to purchase products and services. However, we reserve the right to offer discounts, rewards, and other ancillary products and services to only registered customers. Further tracking your orders, and reusing your personal information is available to only registered users due to security considerations.
Once an order is placed, please verify the Order Confirmation provided to You. Irrespective of what you believe you ordered, our commitment is to deliver products and services in the Order Confirmation document at the price, tax, and delivery schedules
By placing an order for our products or services, you warrant that You are authorized to do so, You are using legal and authorized payment instruments and are legally capable of signing any documents required for the transaction.

Refund & Exchange Policy – Applicable to all Merago Lens&Shades and Lens&Meds Optical Services.
At Merago, we strive to ensure your satisfaction with every purchase. If you are not entirely happy with your order, we’re here to help You with clear guidelines.

Refund Eligibility and Periods
- Prescription Eyeglasses, Sunglasses – Eligible for exchange or store credit within 14 days from the date of delivery or in-store collection.
- Sunglasses (Non-prescription) – Eligible for refund within 7 days from the date of delivery or in-store collection. After 7 days until 30 days from pickup, exchange or store credit will be provided.
- Contact Lenses – Refunds accepted within 7 days from the date of delivery, provided the outer packaging has not been opened.
- Credit usage policy: A purchase, cancellation or exchange transaction may result in issuance of store credits to You. All such store credits have a 180 days validity from the date of credit added in your Merago Credit Account.
Non-Refundable Items
- Non-Merago brands (e.g., Fossil, Le Petit Lunetier) purchased online or in-store.
- Accessories such as lens solutions, lens cases, and other consumables.
- Memberships
Exclusions
- For products bought under combo offers (e.g., BOGO-Buy One, Get One Free), refund on a single item is not applicable.
- In all cases, refunds or exchanges are not permitted if:
  - Product is damaged, scratched, or tampered post-delivery acceptance by You
  - Frame/lens has scratches not reported at time of delivery.
Cash-on-Delivery (COD) and Cash-at-Store orders are only eligible for exchange, not refund.
Contact lenses must remain sealed and unused.
Store credit once issued cannot be converted to a refund.
Once an exchange is initiated, it cannot be converted into a refund.
Issues That Are Repairable (Not Refundable)
- Frame alignment or adjustments
- Cleaning services
- Fitment or comfort-related issues
- (NOTE: These services can be availed free of charge at any company owned Lens & Shades outlet.)
Warranty claim:
- Breakage offers for home brand: If breakage happens within 6 months of purchase, 50% breakage policy will be applicable and is not applicable for non-home brand.
- Warranty claims for manufacturer defect like frame coating peel off, frame breakage or loosened joints within 6 months upon delivery will be replaced.
- Warranty claims for lens defect like lens coating peel off, improper fitting within 6 months upon delivery will be replaced as per the existing prescription.
- Any mismatch in prescription will be corrected within 7 days.
Payment
- We will accept payments from VISA, MasterCard, Rupay credit or debit cards, Merago Health Savings Accounts, Merago Credit Accounts, Merago Fitcoins reward points , and other future forms of payment available at the time your order is shipped.
- We will communicate the details fo your purchase, processing an shipment using one or more channels such as Emails, Whatsapp notifications, or MeragoHealth in-app notifications.
- Except where otherwise set out in these Terms of Sale, the price payable by you for the products or services will be at the price applicable at the time you place your order. Applicable taxes and the delivery fee will be added at the time you place your order in addition to the price of products or services.
Shipping and Delivery
- After we send You the order confirmation notification, we will send you a separate Shipping Confirmation email. The Shipping confirmation email will include a tracking number that you may use to track your order on our delivery service provider’s website and obtain an estimated delivery date.
- The goods will be delivered by a carrier to the delivery address specified by you during the order process. All items purchased from this website are made pursuant to a shipment contract, which means the risk of loss and title for such items passes to you upon Merago’s delivery to the carrier. We do our best to ensure timely deliveries, but please note that shipments can occasionally be delayed due to major holidays or unforeseen circumstances. Tracking numbers will be provided for all orders.

SECTION 15 – GENERAL TERMS

Limitation of Liability. IN NO EVENT SHALL Merago, ITS AFFILIATES, SUBSIDIARIES, PARENT, DIRECTORS, EMPLOYEES, PARTNERS, CONSULTANTS, CONTRACTORS BE LIABLE FOR ANY INDIRECT, DIRECT, INCIDENTAL, FINANCIAL, MEDICAL OR PUNITIVE DAMAGES ARISING FROM THE USE OF OUR PRODUTCS, SERVICES, CUSTOMER SUPPORT SERVICES, WEBSITES, MOBILE APPS, COMMUNICATIONS, OR PRODUCT RELATED SALES AND SERVICES ONLINE OR AT THE STORES, WRITTEN OR VERBAL ADVISORIES, BLOGS, SOCIAL MEDIA COMMUNICATIONS, BROADCASTS, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE. NOTWITHSTANDING THE FOREGOING, TOTAL LIABILITY OF MERAGO FOR ANY REASON SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN CONNECTION WITH THE SUBJECT MATTER OF THE PARTICULAR DISPUTE.
Warranties. EVERY PRODUCT, SERVICE, COMMUNICATION, INFORMATION DOCUMENTATION IS PROVIDED ON AN “AS-IS” BASIS AND MERAGO MAKES NO REPRESENTATIONS OR WARRANTIES BEYOND WHAT MAY BE PROVIDED FOR A SPECIFIC PRODUCT PURCHASED BY YOU AT OUR WEBSITE OR IN STORES. MERAGO EXPRESSLY DISCLAIMS ALL EXPRESS WARRANTIES OF APPLICABILITY OF ANY OF THE ABOVE FOR ANY SPECIFIC PURPOSE.
Force Majeure Events. We take no responsibility for delay or failure to perform or comply with the terms in this TOU if the delay or failure is due to any event or situation such as but not limited to government or community policy changes, social unrest, labor disputes, or acts of God, such as fires, floods, earthquakes, storms, natural disasters, war, civil unrest, pandemics, acts of terrorism or malicious damage to our equipment, services, products our ability to deliver.
Waiver. Delay in our exercising or our failure to exercise any right or remedy under these Terms of Sale, shall not constitute a waiver of our rights and remedies under these Terms of Sale.
Invalidity. In the event that one or more of the terms set out in these Terms of Sale or in the Additional Policies is held to be invalid by a competent authority, the remaining terms shall continue to have effect and you will still be bound by them.
Privacy. All data you provide will be used in compliance with our Privacy Policy.
